Virgo - Personalised AI Business Diagnostic
These Terms and Conditions of Purchase ("Terms and Conditions of Purchase") set out your rights and responsibilities for purchasing, accessing and using Virgo, an AI business diagnostic tool made available through www.jazzejervis.com.au and its sub-domains and affiliated sites, as well as JMJ International ("JMJ International", "our", "us" or "we") pages and accounts on Circle®, Pickaxe®, Facebook®, Instagram®, Pinterest®, LinkedIn®, Spotify® and Apple® (the "Sites").
We pride ourselves in providing a high level of customer service and ensuring that you are clear in respect of all of your rights relating to your purchase. These terms apply to all purchases of Virgo made from our Sites and in proceeding to make a purchase you accept our terms in full. In addition to reading these Terms and Conditions of Purchase you should also ensure that you have read both our Terms and Conditions of Site Use and our Privacy Policy carefully.
These Terms and Conditions constitute a legally binding contract between JMJ International (herein also referred to as "Company"), and you regarding your purchase of Virgo, including the AI diagnostic tool, the Focus Plan it generates for you, and any accompanying guides, videos, trainings or resources (herein referred to as the "Product" or "Virgo"). The Product shall be deemed to be incorporated herein by reference in addition to this website's terms of use (the "Terms and Conditions") and privacy policy ("Privacy Policy"). The individual agreements between the Company and you together with these Terms and Conditions of Purchase, the Terms and Conditions of Site Use, and the Privacy Policy are collectively referred to herein as this "Agreement."
By purchasing this Product, you (herein referred to as "Client") agree to the following terms as a condition of your access to and use of Virgo.
1. APPLICABILITY
For all orders via the Company's online shop by consumers, entrepreneurs and businesses, the following Terms and Conditions of Purchase shall apply to the exclusion of any other party's terms and conditions, irrespective of whether they may be in conflict with or modifying or extending the content of these Terms and Conditions of Purchase.
A consumer is any natural person who enters into a legal transaction for purposes which are predominantly neither commercial nor self-employed. An entrepreneur and/or business is a natural person, a legal partnership, or legal corporation that, when entering into a legal transaction, does so for commercial or independent professional activity.
With regard to entrepreneurs and businesses, these terms and conditions also apply to future business relationships.
You must be at least 18 years of age to purchase and use Virgo.
2. CONTRACT PARTIES, CONCLUSION OF CONTRACT & CONTRACT LANGUAGE
The contract of purchase is with JMJ International. Please see the imprint on the website or the confirmation e-mail of the Company for further information and contact details.
You are obliged to use your correct name and to provide only true and complete information and data on your order.
The listings of products in our online shop does not constitute a legally binding offer, but merely an invitation to place orders. You can initially put our products into the shopping cart without obligation and correct your entries at any time before submitting your binding order.
By clicking "Buy Now", "Create My Personalised Focus Plan", "Purchase" or similar in the last step of the order process, you submit a binding offer to purchase the products displayed in the order overview. Shortly after submitting your order you will receive a confirmation by e-mail. The contract is entered into and legally binding for both parties only upon receipt of the Company's confirmation e-mail.
You must read the product description on our Sites carefully as it clearly sets out the details relating to what you will receive. If at any time you experience technical difficulties when using Virgo you should contact us via email hello@jazzejervis.com.au and one of the team shall respond to your query within 1-2 working days.
The exclusive language available for the conclusion of the contract shall be English. Translations of these Terms and Conditions of Purchase into other languages are for information only.
3. STORAGE OF THE CONTRACT TEXT & MODIFICATIONS TO THE CONTRACT
You may access these Terms and Conditions of Purchase at any time by visiting https://jazzejervis.com.au/virgo-terms-and-conditions.
We reserve the right at any time to modify these Terms and Conditions of Purchase and to impose new or additional terms or conditions on your access and use of the Product. Such modifications and additional terms and conditions shall be effective immediately and incorporated into this agreement. Your continued use of the Product will be deemed your acceptance thereof. The modified terms and conditions will be accessible to you at https://jazzejervis.com.au/virgo-terms-and-conditions. 4. WHAT YOUR PURCHASE INCLUDES
Virgo is a personalised AI business diagnostic designed primarily for service providers, including coaches, consultants, creatives, practitioners and other experts selling their expertise. Your purchase includes:
One (1) diagnostic conversation with Virgo, in which you will be asked a short series of questions about your business and your Human Design Energy Type (usually four to six questions, taking around 10 minutes)
One (1) personalised 30-Day Focus Plan, generated based on your answers, which identifies your current Business Season, the one focus for your next 30 days, recommended actions, and how to approach the work based on your Human Design Energy Type
The "How To Use Virgo" guide and any accompanying videos or bonus trainings made available in the Virgo space inside the Company's portal
Virgo is designed for businesses that have already started - that is, where the Client has an offer, an audience, or some experience trying to sell their work. It is not designed for those who are at the idea stage and have not yet started their business.
Your Focus Plan is delivered inside the tool. Virgo does not create a PDF or downloadable file. You are responsible for copying and saving your Focus Plan to your own document or device.
Virgo is best used on a desktop or laptop computer. The Company does not guarantee the Product will function as intended on a mobile phone or tablet.
Access to your saved conversation and to the Virgo space in the portal is provided for as long as the tool remains active. The Company does not guarantee that your saved conversation will remain available indefinitely, and recommends saving your Focus Plan as soon as it is delivered.
5. ONE-TIME USE
Virgo is a single-use tool. Your purchase entitles you to one (1) diagnostic conversation and one (1) 30-Day Focus Plan. Once your Focus Plan has been generated, you will not be able to run the diagnostic again, restart the conversation, or generate a new or alternative Focus Plan.
This applies regardless of the reason, including but not limited to:
If you do not agree with, or do not like, the Business Season or Focus Plan you receive
If you would like a different result
If you provided incomplete, inaccurate or aspirational information during the diagnostic
If you entered your Human Design Energy Type incorrectly
If your business circumstances change after your Focus Plan is generated
If you close, lose or fail to save your Focus Plan
Your Focus Plan is built entirely on the answers you provide. You are responsible for answering accurately and as things actually are in your business at the time of the diagnostic, not as you would like them to be or intend them to be.
Once your Focus Plan has been delivered, Virgo will not answer further questions, including questions about the Focus Plan itself. Virgo is a diagnostic tool, not a coach, and does not provide ongoing support, coaching, feedback, accountability or implementation help. Where additional support is available, this is offered separately through the Company's paid programs.
Each purchase is for one (1) person and one (1) business. You may only use Virgo to diagnose your own business. You may not use Virgo to run a diagnostic on behalf of, or for the business of, any other person, including your own clients.
6. PRICES & PAYMENT TERMS
In our online shop you can make use of the following payment methods:
Credit card
If you choose to pay by credit card, by submitting the order you also submit your credit card details. After you are verified as a legitimate cardholder, we submit a request to your credit card issuer to immediately initiate the payment. The payment is automatically performed by the credit card company and charged to your card.

Virgo: One-time payment of $22 USD
From time to time, Virgo may be offered at a promotional price for a limited period. The promotional price and the date it ends will be displayed on the Sites and at checkout.
ALL SALES ARE FINAL AND NO REFUNDS WILL BE ISSUED.
Upon purchase, you will receive a confirmation by e-mail with instructions for accessing Virgo. Access is granted for a single user only. Only one person may access and use the Product per purchase.
All prices posted on this Site are subject to change without notice. The price charged for the Product will be the price in effect at the time the order is placed and will be set out in your order confirmation e-mail. Price changes will only apply to orders placed after such changes. No refund or credit will be given for the difference between the price you paid and any later or earlier promotional price.
By proceeding with any purchase, you acknowledge that you have read and understand our No Refund Policy as outlined in Section 7, and you agree that all sales are final.
Listed prices do not include taxes. You will have notice of all such applicable taxes by reviewing your total in your shopping cart and in your order confirmation e-mail.
We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors.
7. NO REFUND POLICY
All sales are final. JMJ International does not offer refunds for Virgo for any reason.
Virgo is digital content that is made available to you immediately upon purchase. By completing your purchase, you expressly request and consent to immediate access to Virgo, and you acknowledge that, to the extent permitted by applicable law, you lose any right of withdrawal or cancellation once access has been provided.
Once you complete your purchase, you accept full responsibility for your purchase decision and acknowledge that no refunds will be provided under any circumstances, including but not limited to:
If you change your mind about the Product
If you decide the Product is not right for you or your business
If you do not begin, or do not complete, the diagnostic conversation
If you do not agree with, or are unsatisfied with, your Business Season or Focus Plan
If you do not implement your Focus Plan, or do not achieve the results you hoped for
If you provided inaccurate or incomplete information during the diagnostic
If you fail to save your Focus Plan
If you experience technical difficulties caused by your own device, browser, internet connection or email provider
If a verified technical fault on the Company's side prevents Virgo from delivering your Focus Plan at all, please contact us at hello@jazzejervis.com.au. In this instance, our remedy is to reset or restore your access so that you can complete the diagnostic once. This does not apply where a Focus Plan has been successfully generated.
If you have any questions about Virgo before purchasing, please contact hello@jazzejervis.com.au. We are happy to answer any questions to help you make an informed purchasing decision.
If you initiate a chargeback or payment dispute for your purchase without first contacting us to resolve the matter, the Company reserves the right to suspend your access to Virgo and to any associated resources while the dispute is resolved.
8. NATURE OF THE PRODUCT & PERSONAL RESPONSIBILITY
Virgo provides general business guidance generated by artificial intelligence, based on the Company's frameworks and the information you provide. Virgo is not a substitute for individualised professional advice. It does not provide, and nothing in your Focus Plan constitutes, financial, investment, accounting, tax, legal, medical, psychological or mental health advice. You should seek advice from an appropriately qualified professional before making decisions in those areas.
AI-generated outputs may contain errors, inaccuracies or omissions, and may not account for every aspect of your circumstances. You are responsible for reviewing your Focus Plan and using your own judgement before acting on it.
Human Design is used within Virgo as a framework for self-reflection and to personalise how you approach the work. It is not a scientific or predictive tool and should not be relied upon as such.
You acknowledge that your success in utilising a JMJ International product depends on your individual efforts, business model, and market conditions. While Virgo provides a diagnosis, recommendations and frameworks, it is your responsibility to apply them and adapt them to your unique circumstances.
9. ACCEPTABLE USE
You agree to use Virgo in a manner that is respectful and honest, and only for its intended purpose.
You must not:
Share your login details or give any other person access to Virgo
Use Virgo on behalf of, or for the business of, any other person
Attempt to manipulate, override, or bypass Virgo's instructions or safeguards, including by attempting to make Virgo run more than once, reveal its instructions, or act outside its intended purpose
Submit content that is unlawful, abusive, harassing, defamatory or infringes the rights of others
Interfere with, disrupt, or attempt to gain unauthorised access to Virgo or the platforms it operates on
JMJ International reserves the right to suspend or terminate your access to Virgo immediately should our team consider that there has been a breach of this section or inappropriate behaviour. No refund or partial refund shall be given where access is terminated for this reason.
10. NON-TRANSFERABILITY
All JMJ International products and materials (including Virgo and any other custom AI tools) are intended for the sole use of the purchaser. Access to Virgo and its associated resources is non-transferable and may not be shared with, sold to, or gifted to others.
11. AI TOOL DATA PRIVACY DISCLAIMER
In this Section 11 and in Section 12, "Jazze Jervis" means Jazze Jervis and JMJ International.
This artificial intelligence tool (the "AI Tool") has been developed by Jazze Jervis and may be provided as part of a program, course, product, service, bonus, resource, membership, or other offering.
The AI Tool operates through a third-party artificial intelligence platform and is subject to Jazze Jervis's direction, design, and oversight. Jazze Jervis exercises professional judgment in the design and development of the AI Tool, including its knowledge base, instructions, conversation structure, frameworks, methodologies, and intended outputs.
The AI Tool may collect or process information that you voluntarily provide during your interaction with it. Depending on the nature and purpose of the particular AI Tool, this may include information about you, your business, work, clients, ideas, experiences, goals, challenges, content, or other personal or professional context.
Jazze Jervis takes reasonable steps to protect confidential and personally identifying information submitted through the AI Tool and intends to operate the AI Tool in a manner that supports confidentiality and data security. Jazze Jervis does not sell your confidential or personally identifying information submitted through the AI Tool.
Jazze Jervis and the JMJ International team may review conversations and outputs generated through the AI Tool for the purposes of quality control, troubleshooting and improving the AI Tool. Any such review is handled confidentially and in accordance with our Privacy Policy.
However, you acknowledge and agree that the AI Tool operates through one or more third-party artificial intelligence or technology platforms. Jazze Jervis does not control the security, privacy practices, data processing, storage, or technical infrastructure of those third-party platforms and therefore cannot guarantee the security or confidentiality of information once it has been transmitted outside of her direct control.
Accordingly, you should not submit information through the AI Tool that you would not be comfortable transmitting through a third-party technology platform.
This includes, without limitation, passwords, financial account information, payment card details, government identification numbers, protected health information, confidential client records, legally privileged information, proprietary third-party information, or other highly sensitive personal, financial, medical, legal, business, or confidential data.
By using the AI Tool, you acknowledge and accept the inherent privacy and security risks associated with transmitting information through third-party artificial intelligence platforms.
The email address you use to access the AI Tool will be used to verify your access and save your conversation to your account. It may also be used to send you communications about your purchase and, where you have agreed, marketing communications from JMJ International, which you can unsubscribe from at any time.
12. RESTRICTIONS ON USE OF THE AI TOOL
You understand and acknowledge that the AI Tool, including its underlying knowledge base, instructions, prompts, conversation structure, curriculum, methodologies, frameworks, processes, examples, voice design, output architecture, supporting materials, and other proprietary components (collectively, the "AI Tool Materials"), has been developed by Jazze Jervis through the investment of significant time, expertise, effort, and expense.
The AI Tool Materials are valuable, proprietary, special, and unique assets of Jazze Jervis and are protected from unauthorised use, reproduction, disclosure, distribution, or exploitation.
You expressly agree that you will not use the AI Tool Materials in any manner contrary to these terms.
You are expressly prohibited from inputting, uploading, submitting, copying, reproducing, or otherwise providing any AI Tool Materials to train, fine-tune, develop, improve, benchmark, instruct, or otherwise contribute to any artificial intelligence system, machine learning system, large language model (LLM), automated content generation technology, custom AI tool, chatbot, agent, assistant, or substantially similar technology, whether existing now or developed in the future, without Jazze Jervis's prior written permission.
You must not attempt to access, extract, reveal, reproduce, reverse engineer, reconstruct, replicate, summarise, or obtain the AI Tool's underlying system instructions, prompts, knowledge base, methodologies, protected frameworks, internal logic, conversation architecture, or other proprietary components.
You may use outputs generated specifically for you through the AI Tool for the personal or business purposes for which the particular AI Tool is intended, including implementing, adapting, editing, publishing, or otherwise using your own generated outputs in your business where applicable.
However, permission to use your individual outputs does not grant you any ownership interest in, or licence to reproduce, teach, distribute, commercialise, replicate, reverse engineer, or create derivative works from, the underlying AI Tool Materials.
You may not use the AI Tool Materials, whether alone or together with your generated outputs, to build, replicate, develop, market, license, sell, distribute, teach, or provide any tool, program, course, framework, methodology, resource, service, or other commercial offering that substantially reproduces, derives from, or is designed to replicate the proprietary structure, methodology, functionality, or intellectual property of the AI Tool.
You may not train, instruct, or assist any other person or business to reproduce or create the same or a substantially similar AI Tool using the AI Tool Materials.
You may not duplicate, share, distribute, publish, sell, licence, sublicense, or create derivative works from the AI Tool Materials except with Jazze Jervis's express written permission.
You acknowledge that unauthorised use or disclosure of the AI Tool Materials may cause immediate and irreparable harm to Jazze Jervis for which monetary damages alone may be insufficient. Accordingly, Jazze Jervis reserves the right to seek injunctive or equitable relief, in addition to any other rights or remedies available under applicable law.
All right, title, and interest in the AI Tool Materials remain the intellectual property of Jazze Jervis unless expressly assigned otherwise in writing.
Your access to or use of an AI Tool does not transfer ownership of the AI Tool Materials or grant any rights beyond those expressly provided in these terms.
If you breach these restrictions, Jazze Jervis reserves the right to terminate your access to the relevant AI Tool and, where applicable, any associated program, course, product, membership, resource, or service, subject to any rights you may have under applicable consumer law.
13. INTELLECTUAL PROPERTY
You understand and agree that the Product contains proprietary information and materials, such as the AI Tool Materials, guides, videos, trainings, frameworks, text, graphics, images, templates and recordings (collectively, the "Product Content"), including but not limited to the individual design elements, selection, layout, coordination, structure, expression, and sequencing, user interfaces, "look and feel," and arrangement embodied in the Product, that are owned by JMJ International and/or its licensors and are protected by copyright, trademark, and other applicable intellectual property laws. Duplicating, sharing, or uploading any Product Content, including to any sharing or social media sites, is considered stealing and an infringement of our intellectual property rights, and JMJ International will prosecute such misconduct to the fullest extent permitted by law.
Other than your use of your own Focus Plan as permitted in Section 12, JMJ International provides you with the Product solely for your own use in your own business, and you agree that you will not use any of the Product Content in any way whatsoever except for use in compliance with this Agreement. More specifically, unless explicitly authorised in this Agreement, you may not modify, copy, reproduce, republish, upload, post, transmit, rent, lease, loan, translate, sell, create derivative works of, exploit, or distribute in any manner or medium (including by email or other electronic means) any Product Content.
The Business Seasons framework, the Focus Plans and the By Design methodology are the intellectual property of JMJ International. You may not teach, reproduce or present these frameworks as your own, or incorporate them into your own programs, products, tools or services.
The trademarks, service marks, and logos of JMJ International (the "JMJ International Trade Marks") used and displayed in the Product are registered and unregistered trademarks or service marks of JMJ International. Nothing in this Agreement should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the trade marks, without our prior written permission specific for each such use. All goodwill generated from the use of JMJ International Trade Marks inures to our benefit.
14. THIRD-PARTY PLATFORMS, MATERIALS AND WEBSITES
Virgo is hosted on, and operates through, third-party platforms and artificial intelligence providers, which may include Pickaxe, Circle and one or more AI model providers. The Company may change the platform, AI model or provider used to deliver Virgo at any time, at its discretion, without notice to you. The Company is not responsible for any interruption, outage, change in functionality, or loss of data caused by these third-party platforms.
JMJ International may provide links to third-party materials and websites, including a free Human Design chart generator, as a convenience to you. These links are provided solely as a convenience to you and not as an endorsement by JMJ International of the contents on such third-party sites, and we expressly disclaim any representations regarding the content or accuracy of materials on such third-party websites. You acknowledge and agree that JMJ International shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or products available on or through any such linked site.
Any affiliate links on our site will be clearly marked. Where we are an affiliate we may receive a small commission; however, you will never be charged more because of an affiliate arrangement we have in place.
15. CHANGES TO THE PRODUCT
The Company may update, improve, modify or discontinue Virgo, or any part of it, at any time. This may include changes to the questions asked, the structure or content of the Focus Plan, or the platform on which Virgo operates. Where you have purchased Virgo but not yet completed your diagnostic, the Company will take reasonable steps to ensure you are still able to receive one Focus Plan.
16. REPRESENTATIONS AND WARRANTIES
The Product is provided on an "as is" and "as available" basis. Within the scope of the following limitation of liability clause, we expressly disclaim all warranties, including, but not limited to, warranties of title, merchantability, non-infringement of third parties' rights, and fitness for any other than the agreed particular purpose and any warranties arising from a course of dealing, course of performance, or usage of trade in connection with the Product. We have taken reasonable efforts to ensure that we accurately represent Virgo and its ability to help you. However, JMJ International does not guarantee that you will get any results or earn any money using any of our products, ideas, tools, strategies, or recommendations, and nothing on our websites or in our products, including your Focus Plan, is a promise or guarantee to you of future earnings.
You expressly agree that your use or inability to use the Product is at your sole risk. By purchasing the Product, you accept, agree, and understand that you are fully responsible for your progress and results and that we offer no representations, warranties, or guarantees (expressed or implied) regarding your earnings, business profits, marketing performance, audience growth, or results of any kind. You alone are responsible for your actions and business, which are dependent on personal factors including, but not necessarily limited to, your skill, knowledge, ability, dedication, business savvy, network, and financial situation, to name just a few. You also understand that any testimonials or endorsements by our customers or audience represented in our products, websites, content, landing pages, sales pages, or offerings have not been scientifically evaluated by us, and the results experienced by individuals may vary significantly. Any statements outlined in our products, websites, content, and offerings are simply our opinions and thus are not guarantees or promises of actual performance.
We do not warrant that Virgo will be uninterrupted, error-free, or that the outputs it generates will be accurate, complete or suitable for your particular circumstances.
17. LIMITATION OF LIABILITY
Nothing in this Agreement will:
Limit or exclude any liability for death or personal injury resulting from negligence;
Limit or exclude any liability for fraud or fraudulent misrepresentation;
Limit any liabilities in any way that is not permitted under applicable law; or
Exclude any liabilities that may not be excluded under applicable law.
You accept that in using Virgo, you may make decisions concerning your business and career, finances, lifestyle, education, development, health, and wellness, and that any such decisions, implementation, and action will be your sole responsibility.
You accept and understand that you are solely responsible for your decision making and JMJ International shall not be liable for your failure to make decisions, put into action plans or strategy, or for any results whether direct or indirect arising out of your use of Virgo or reliance on your Focus Plan.
To the maximum extent permitted by law, JMJ International's total liability to you in connection with the Product shall not exceed the amount you paid for the Product.
Data communication via the internet cannot be guaranteed to be error-free and/or available at all times. We cannot guarantee constant and continuous availability of our online systems.
18. CONSUMER RIGHTS
Nothing in this Agreement excludes, restricts or modifies any right or remedy you may have under applicable consumer protection law which cannot lawfully be excluded, restricted or modified. Where such law applies, these terms apply only to the extent permitted by that law.
19. GOVERNING LAW
The Terms and Conditions are governed by The State of Arizona, United States of America law. The Courts of Arizona have exclusive jurisdiction over any matter and proceedings arising out of your purchase from our Sites.
20. INDEMNIFICATION
To the extent permitted by applicable laws, both Parties agree to defend, indemnify, and hold harmless the respective party from and against any and all liabilities and expense whatsoever - including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys' fees, and disbursements - which any of them may incur or become obligated to pay arising out of or resulting from breach of this Agreement by the other party.
21. EQUITABLE RELIEF
You acknowledge and agree that in the event of a breach or threatened violation of JMJ International's intellectual property rights and confidential and proprietary information by you, JMJ International will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement. JMJ International may, without waiving any other remedies under this Agreement, seek from any court having jurisdiction any interim, equitable, provisional, or injunctive relief that is necessary to protect its rights and property pending the outcome of any applicable dispute resolution process.
22. COMPLIANCE WITH LAW
The parties shall comply with all applicable laws in performing this Agreement. Whenever there is any conflict between any provision of this Agreement and any law, the law shall prevail.
23. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
24. NO WAIVER
If the Parties choose to waive one provision of this Agreement, that does not mean that any other provision is also waived. The party against whom a waiver is sought to be effective must have signed a waiver in writing.
25. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding and agreement of the Parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements, inducements or conditions, express or implied, written or oral, between the parties. This agreement expressly supersedes any and all prior written and/or oral agreements, and the terms and conditions of this agreement cannot be modified without the express written consent of both parties. The terms and conditions of this Agreement shall be binding upon the parties, their personal representatives, successors and assigns, and may not be assigned to any third party beneficiary.
